General Purpose

Oversees complex and sensitive contract management. Ensures procurement controls are applied to contracting preventing the occurrence of businesses fraud. Ensure contracting is consistent with procurement framework, policies, systems, processes and procedures and complies with changing legislation and regulatory and internal audit requirements. Maintain and monitor compliance of contract language related all financial, legal, regulatory and environmental requirements.

Responsibilities

  • Complete initial contract review of supplier redline contracts.
  • Prepares alternate commercial clauses in contracts in response to supplier redlines either with direct input or through staff training programs.
  • Develop and deliver training on commercial contract clauses including milestones, payments, warranty, testing and acceptance, termination provisions, liquidated damages, delays and change in work.
  • Act as a liaison with PacifiCorp attorneys and business unit staff to facilitate timely completion of contracts and in resolving complex compliance, data requests and regulatory issues.
  • Develop, review, revise contract formats and transmit contracts and other supplier related correspondence of a complex nature.
  • Prepare regulatory and compliance filings with state and federal agencies, adhering to federal/state laws and regulations.
  • Research complex contract issues and case history on internet, Westlaw, Commerce Clearinghouse, and OJIN and provide a recommendation for review by PacifiCorp attorneys.
  • Ensure that consistent and standard practices are followed for all transactions, bids and contracts.
  • Provide regulatory and compliance analysis on procurement activities to upper management.
  • Monitor, test processes and Interpret and communicate complex language to ensure ongoing and continued compliance.
  • Utilize project management skills to develop processes for contracts in development and expedite priority contracts to meet business needs.
  • Assign support resources to specific tasks in order to optimize the organization’s ability to respond to changing task assignments and customer demands.

Requirements

  • Bachelor’s degree in Law, Business Administration, Finance, Accounting or a related field; or the equivalent combination of education and work experience.  A paralegal certification may be counted towards this requirement.
  • A minimum of seven years related experience.
  • Strong Microsoft word drafting and formatting skills
  • Strong knowledge of contract drafting, contract terms and contract development.
  • Experience in capital construction contracting.
  • Knowledge of rules, regulations, policies, procedures and practices; applicable federal, state, and local governmental laws and regulations.
  • Analysis, assessment and investigation skills to determine recommendations or plans of action.
  • Excellent communication and interpersonal skills including the ability to consult and resolve internal or external customer/supplier issues which may be sensitive or urgent in nature.
  • Ability to work with all levels of an organization including people with different styles and backgrounds; ability to work as a member of a team and ability to present alternatives and recommendations.
  • Ability to present and defend alternatives and recommendations to upper management.
  • Proven ability to organize multiple complex tasks, ability to prioritize competing issues using limited resources to accomplish results within established timeframes. 
  • Strong project management skills are essential.

Preferences

• Demonstrated proficiency and understanding of standard commercial terms, legal terms, and dispute resolution techniques.
